Welcome to RentPasa! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RentPasa Inc. ("RentPasa," "we," "us," or "our") governing your access to and use of the RentPasa platform, including our website, mobile applications, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. Please read these Terms carefully before using our platform.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

2. Eligibility

To use our Service, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Not have been previously suspended or removed from our Service
• Provide accurate and complete registration information

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

3.1 Account Creation

To access certain features of our Service, you must create an account. You agree to:

• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

• Email verification through confirmation links
• Phone verification through SMS one-time passcodes (OTP)
• Identity verification through government-issued documents
• Business verification for property owners and managers

4. SMS Communications Consent

4.1 Types of SMS Messages

When you consent to receive SMS messages, you may receive:

• Verification Messages: One-time passcodes (OTP) for account verification and login
• Transactional Notifications: Booking confirmations, lease updates, maintenance alerts
• Account Alerts: Security notifications, password changes, important account updates
• Service Messages: Booking inquiries, payment reminders, property notifications

4.2 Message Frequency and Costs

Message Frequency: You may receive up to 10 messages per day, depending on your activity on the platform. Message frequency will vary based on your account activity, bookings, and verification needs.

Message and Data Rates: Standard message and data rates may apply. Your carrier may charge you for each message sent or received. RentPasa is not responsible for any charges incurred by your wireless carrier.

4.3 Opting Out

You may opt out of receiving SMS messages at any time by:

• Reply STOP: Text "STOP" to any message from RentPasa
• Account Settings: Disable SMS notifications in your account preferences
• Contact Support: Email support@rentpasa.com to request removal

Note: Opting out of SMS messages may affect your ability to use certain features that require phone verification, such as passwordless login.

5. Use of the Service

5.1 Permitted Use

You may use our Service only for lawful purposes and in accordance with these Terms. Our Service is designed to facilitate:

• Property listing and search for rental accommodations
• Communication between property owners, managers, and tenants
• Booking and reservation management
• Payment processing for rental transactions
• Review and rating of properties and users

5.2 Prohibited Conduct

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Post false, misleading, or fraudulent information
• Engage in discriminatory practices prohibited by fair housing laws
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or its servers
• Attempt to gain unauthorized access to other accounts or systems
• Harass, threaten, or harm other users
• Use automated systems to access the Service without permission
• Circumvent any security measures or access restrictions
• Collect or harvest user data without consent

6. Property Listings

6.1 Host Responsibilities

If you list a property on RentPasa ("Host"), you agree to:

• Provide accurate and complete property information and photos
• Have the legal right to list and rent the property
• Maintain the property in a safe and habitable condition
• Comply with all applicable laws, including fair housing laws
• Honor confirmed bookings and maintain accurate availability
• Respond promptly to booking inquiries and guest communications
• Provide truthful reviews of guests

6.2 Guest Responsibilities

If you book a property on RentPasa ("Guest"), you agree to:

• Provide accurate booking and payment information
• Treat the property with respect and care
• Follow house rules and community guidelines
• Report any issues or damages promptly
• Leave the property in reasonable condition
• Provide truthful reviews of properties

7. Payments and Fees

7.1 Service Fees

RentPasa may charge service fees for using the platform. These fees will be clearly disclosed before you complete a transaction. Fees may include:

• Guest service fees (percentage of booking total)
• Host service fees (percentage of booking total)
• Payment processing fees
• Premium feature fees (optional)

7.2 Payment Processing

Payment processing is handled by third-party payment processors. By using our Service, you agree to the payment processor's terms and conditions. RentPasa is not responsible for any errors or issues arising from payment processing.

7.3 Cancellations and Refunds

Cancellation and refund policies vary by property and are set by Hosts. Please review the cancellation policy before booking. RentPasa service fees may be non-refundable.

8. Intellectual Property

8.1 RentPasa Content

The Service and its content, including text, graphics, logos, images, software, and other materials ("RentPasa Content"), are owned by or licensed to RentPasa and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

8.2 User Content

You retain ownership of content you submit ("User Content"), but grant RentPasa a worldwide, non-exclusive, royalty-free license to use, display, modify, and distribute your User Content in connection with the Service. You represent that you have all necessary rights to grant this license.

9. Disclaimers and Limitations

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. RentPasa does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9.2 Third-Party Services

RentPasa is a platform that connects Hosts and Guests. We are not a party to any rental agreements between users. We do not own, control, or manage any properties listed on our platform. We are not responsible for the conduct of Hosts or Guests.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENTPASA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our total liability for any claims arising from or related to these Terms shall not exceed the amounts paid by you to RentPasa in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless RentPasa and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Any dispute between you and another user

11. Dispute Resolution

11.1 Informal Resolution

Before filing a formal dispute, you agree to attempt to resolve any dispute informally by contacting us at legal@rentpasa.com. We will attempt to resolve the dispute within 30 days.

11.2 Arbitration Agreement

If informal resolution fails, you agree that any dispute will be resolved by binding arbitration under the rules of the American Arbitration Association. The arbitration will be conducted in Delaware, USA, unless otherwise agreed.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.

12. Termination

You may terminate your account at any time by contacting us or using the account deletion feature. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and RentPasa.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.4 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
