1. Introduction and Acceptance

Welcome to RentPasa. These Terms of Use ("Terms," "Agreement") govern your use of the RentPasa platform, website, mobile applications, and services (collectively, the "Service") operated by RentPasa Inc., a Delaware corporation ("RentPasa," "we," "us," or "our").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICE. By accessing, browsing, or using our Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and RentPasa. If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind such entity to these Terms, and "you" will refer to that entity.

2. Service Description

RentPasa is a rental property platform that connects property owners, landlords, and property managers ("Hosts") with individuals seeking rental accommodations ("Guests"). Our Service includes:

• Property listing and discovery services
• Communication tools between Hosts and Guests
• Payment processing and escrow services
• User verification and background screening
• Dispute resolution assistance

Important: RentPasa acts as an intermediary platform. We do not own, manage, or control any properties listed on our Service.

3. User Accounts and Registration

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Accept responsibility for all activities under your account
• Be at least 18 years old (or the age of majority in your jurisdiction) to create an account
• Not create accounts for anyone other than yourself without permission
• Not use another user's account without authorization

Age Restrictions: In compliance with the Children's Online Privacy Protection Act (COPPA) and similar international laws, our Service is not intended for users under 18 years of age. If you are under 18, you may not use our Service. If we discover that a user under 18 has provided us with personal information, we will delete such information promptly.

You may not create multiple accounts or transfer your account to another person. We reserve the right to suspend or terminate accounts that violate this provision.

4. Host Responsibilities and Fair Housing Compliance

As a Host, you represent and warrant that:

• You have the legal right, title, and authority to list and rent the property
• All property information is accurate, current, and not misleading
• Your property complies with all applicable federal, state, and local laws and regulations
• You have obtained all necessary permits, licenses, registrations, and insurance
• You will maintain the property in safe, habitable, and compliant condition
• You will honor all confirmed bookings and rental agreements
• You comply with all applicable building codes, health codes, and safety regulations
• You have proper insurance coverage for your property and rental activities

Fair Housing Act Compliance (US): In the United States, Hosts must comply with the Fair Housing Act and state/local fair housing laws. You agree not to discriminate against Guests based on race, color, religion, sex, national origin, familial status, disability, or any other protected characteristic. This includes, but is not limited to:

• Refusing to rent based on protected characteristics
• Setting different terms or conditions based on protected characteristics
• Making discriminatory statements in listings or communications
• Failing to provide reasonable accommodations for disabilities

International Anti-Discrimination: Users outside the United States must comply with applicable anti-discrimination laws in their jurisdiction, including but not limited to laws prohibiting discrimination based on race, ethnicity, religion, gender, sexual orientation, age, disability, or other protected characteristics.

Disclaimer: RentPasa does not verify property ownership, compliance with local regulations, or the accuracy of property listings. Hosts are solely responsible for ensuring compliance with all applicable laws.

5. Guest Responsibilities

As a Guest, you agree to:

• Provide accurate personal information for verification
• Respect the property and follow Host rules
• Pay all agreed-upon fees and deposits
• Report any property issues promptly
• Comply with all applicable laws and regulations
• Not use the property for illegal activities

6. Payment and Fees

RentPasa charges service fees for using our platform. All fees are clearly disclosed before booking confirmation. You agree to:

• Pay all fees in full and on time
• Provide valid payment information
• Authorize RentPasa to process payments
• Accept that fees are non-refundable unless otherwise stated

Payment Processing: Payments are processed through third-party payment processors. RentPasa is not responsible for payment processing errors or delays.

7. Dispute Resolution

RentPasa provides dispute resolution services, but we are not responsible for resolving all disputes. You agree to:

• Attempt to resolve disputes directly with the other party first
• Use RentPasa's dispute resolution process when available
• Accept RentPasa's decisions as final in matters we choose to mediate
• Not hold RentPasa liable for disputes between users

8. Prohibited Activities and Content

You may not use our Service to:

• Violate any applicable federal, state, local, or international laws or regulations
• Infringe on intellectual property rights, including copyrights, trademarks, patents, or trade secrets
• Harass, abuse, threaten, defame, or harm others
• Post false, misleading, fraudulent, or deceptive information
• Discriminate against users based on protected characteristics
• Engage in any form of human trafficking, exploitation, or illegal activity
• Attempt to gain unauthorized access to our systems, accounts, or data
• Interfere with, disrupt, or damage the proper functioning of our Service
• Use the Service for commercial purposes without proper authorization
• Circumvent or attempt to circumvent any security measures or payment systems
• Collect or harvest information about other users without consent
• Impersonate any person or entity or misrepresent your affiliation
• Upload viruses, malware, or other harmful code
• Engage in any form of spam, unsolicited communications, or mass messaging
• Violate any applicable data protection or privacy laws

Content Removal: We reserve the right to remove any content that violates these Terms or applicable laws, without prior notice. We may also suspend or terminate accounts that engage in prohibited activities.

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

US Privacy Laws: We comply with applicable US privacy laws, including but not limited to state-specific privacy laws (such as California Consumer Privacy Act - CCPA, Virginia Consumer Data Protection Act, etc.) where applicable.

GDPR Compliance (EU/UK Users): For users located in the European Union, United Kingdom, or other jurisdictions with similar data protection laws:

• You have the right to access, rectify, erase, restrict processing, and port your personal data
• You have the right to object to processing and withdraw consent
• You have the right to lodge a complaint with your local data protection authority
• We process your data based on legitimate interests, contract performance, or consent
• We implement appropriate technical and organizational measures to protect your data

International Data Transfers: Your data may be transferred to and processed in countries other than your country of residence. We ensure appropriate safeguards are in place for such transfers, including standard contractual clauses where required.

By using our Service, you consent to the collection, use, transfer, and sharing of your information as described in our Privacy Policy, including cross-border transfers where applicable.

10. Intellectual Property and DMCA Compliance

The Service and its original content, features, and functionality are owned by RentPasa Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain ownership of content you submit to our Service, but you grant RentPasa a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the Service and RentPasa's business.

Digital Millennium Copyright Act (DMCA) - US: RentPasa respects intellectual property rights and complies with the DMCA. If you believe that content on our Service infringes your copyright, please provide our designated Copyright Agent with the following information:

• A physical or electronic signature of the copyright owner or authorized agent
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and information to locate it
• Your contact information
• A statement of good faith belief that the use is not authorized
• A statement that the information is accurate and you are authorized to act on behalf of the owner

11. Limitation of Liability and Section 230 Protections

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RENTPASA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Section 230 Protections (US): Under Section 230 of the Communications Decency Act, RentPasa is not liable for content posted by third-party users. We act as an interactive computer service and are not considered the publisher or speaker of user-generated content.

RentPasa's total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the greater of: (a) the amount you paid to RentPasa in the twelve (12) months preceding the claim, or (b) One Hundred Dollars ($100.00).

• We do not verify user identities, backgrounds, or credentials
• We are not responsible for property conditions, safety, or habitability
• We do not guarantee the availability of properties or successful bookings
• We are not liable for disputes between Hosts and Guests
• We do not endorse or guarantee any user, property, or transaction
• We are not responsible for third-party services, websites, or content
• We do not guarantee uninterrupted, secure, or error-free service

International Limitations: Some jurisdictions do not allow the exclusion or limitation of certain damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you, but only to the extent required by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless RentPasa Inc., its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any disputes with other users
• Your violation of applicable laws or regulations

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive.

14. Dispute Resolution, Arbitration, and Governing Law

Binding Arbitration (US Users): For users located in the United States, any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration will be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: You agree that any disputes will be resolved individually and not as part of a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Opt-Out Right: You have the right to opt out of this arbitration agreement by sending written notice to legal@rentpasa.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in court as described below.

Governing Law (US): These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Jurisdiction (US): If arbitration does not apply or you opt out, any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

International Users: For users located outside the United States:

• These Terms shall be governed by Delaware law, but local consumer protection laws may apply
• Disputes may be resolved through arbitration or courts as specified above, unless prohibited by local law
• You may have additional rights under your local consumer protection laws
• If any provision conflicts with mandatory local law, that provision will be modified to comply

Small Claims Exception: Notwithstanding the above, you may bring claims in small claims court in your jurisdiction if they qualify.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

17. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of RentPasa.

18. Platform Intermediary Status

Important: RentPasa is an online platform that connects Hosts and Guests. We do not own, manage, control, or operate any properties listed on our Service. We are not a party to any rental agreement between Hosts and Guests.

US Section 230 Protection: As an interactive computer service provider under Section 230 of the Communications Decency Act, RentPasa is not liable for content posted by users. We do not review, edit, or control user-generated content, though we reserve the right to remove content that violates these Terms.

International Platform Protections: Similar protections may apply in other jurisdictions. RentPasa acts as an intermediary platform and is not responsible for user content, property conditions, or transactions between users, except as required by applicable law.

Americans with Disabilities Act (ADA) - US: RentPasa is committed to providing an accessible platform. We strive to comply with applicable accessibility standards, including the Americans with Disabilities Act and Web Content Accessibility Guidelines (WCAG).

International Accessibility: We aim to comply with accessibility laws in other jurisdictions, including but not limited to the Accessibility for Ontarians with Disabilities Act (AODA) in Canada and similar laws elsewhere.

20. Export Control and International Trade

US Export Laws: The Service may be subject to US export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the US Department of Commerce and trade and economic sanctions maintained by the US Treasury Department's Office of Foreign Assets Control.

International Sanctions: You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive US sanctions, and you will not use the Service in violation of any applicable trade sanctions or export laws.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by RentPasa on the Service, constitute the entire agreement between you and RentPasa concerning the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and RentPasa.
